CONSENT AND AGREEMENT

1. CIBC may send to you electronically any and all materials sent to its shareholders, including notices of meetings, management proxy circulars, forms for voting by proxy, annual and interim reports (including the financial statements and management’s discussion and analysis) and announcements.

2. Materials may be sent electronically by sending you an email, which includes the internet address (URL) where the materials can be viewed as well as a URL for e-voting. Materials remain available for viewing there until archived – generally until at least the same reporting period the following year.

3. Materials sent electronically may be viewed on the Internet, or you may save and print them if you wish to retain a copy. You are responsible for keeping copies of shareholder materials.

4.Your enrollment is effective immediately for all CIBC common shares held in your ESPP account and continues in effect until you change or cancel your enrollment, which you may do at any time. You are responsible for notifying us of any changes to your contact information, including your email address.

5. If your email address is invalid at the time materials are distributed, a paper copy of the materials will be sent to you. You will receive a paper notification providing instructions on how to update your email address and the URLs to the electronic materials.

6. If you decide after enrollment that you would like to receive a printed set of meeting-related materials at no cost, please contact CIBC Investor Relations at 416-861-8870 or investorrelations@cibc.com.

7. To update your information or cancel your enrollment go to http://www.investordelivery.com/ and enter your unique enrollment number (which will be sent to you after you submit this consent). If you cancel your enrollment you will receive confirmation of the effective date by email. Please note, if you cancel your enrollment after the record date you may still receive that year's shareholder materials electronically.

8. To view and/or save the materials, you will require a personal computer, access to the Internet and Adobe Acrobat Reader, and to print them you will require a printer. Adobe Acrobat Reader software is available free-of-charge at https://get.adobe.com/reader/.

9. CIBC is not responsible or liable for any damage, loss or inconvenience you may incur in connection with the electronic delivery of meeting materials. This includes but is not limited to:

a) being unable to receive, print or save materials provided to you; or
b) being unable to access current or prior materials as a result of any failure, error or malfunction.

10. CIBC may, at any time, provide you with paper copies of the materials by mail at the last mailing address appearing on our records in addition to, or instead of, providing them to you electronically.
