At Applied Micro Circuits Corporation (“AMCC”), protecting your information is very important to us.  AMCC has created this privacy statement (the “Statement”) to demonstrate and explain our strong commitment to safeguarding the privacy of our investor’s personal information on this web site.  Please read on for details about our practices for handling and securing personal information obtained on this web site.

Information Collection

The purpose of this web site is to allow our investors to vote their proxies for AMCC’s annual meeting of stockholders (the “Annual Meeting”) over the internet (“Online Voting”) rather than by mailing the traditional paper proxy card.   Online Voting will help AMCC reduce printing and mailing costs.

In order to access this web site and use Online Voting, users must provide their e-mail addresses, social security or tax id numbers and PINs (the “User Information”).  The User Information is necessary in order to verify that (i) the user is a registered holder of AMCC’s Class A Common Stock and (ii) that the user has registered to use Online Voting. 

Information Sharing

AMCC will share the User Information with ADP Financial Information Services, Inc. (“ADP”), an unaffiliated company retained by AMCC to facilitate distribution of proxy materials for the Annual Meeting.  AMCC and ADP will use the User Information to: (i) verify shareholder status, (ii) analyze and tabulate shareholder voting for the Annual Meeting, and (iii) create a shareholder database for future distribution of shareholder communications.  Click here to view ADP’s Privacy Statement for details regarding ADP’s use and maintenance of the User Information.

AMCC will not sell, share or rent User Information obtained through this web site to third parties, but AMCC reserves the right to disclose User Information when it believes in good faith that disclosure is legally required, in order to protect or enforce its rights, in order to protect the safety of another and in order to facilitate the services provided to AMCC by ADP in connection with the Annual Meeting.

Security

Once we receive your transmission, we make reasonable efforts to ensure its security on the host server. We will never ask you for your password in an unsolicited phone call or in an unsolicited e-mail.

Canceling Enrollment and Correction of User Information

Except for the instances described above in the second paragraph of the section titled “Information Sharing,” if you object for any reason to our use of your User Information for any of the purposes described above or wish to correct any User Information previously submitted (such as make a change in your e-mail address), you may stop that use online by canceling your Online Voting enrollment or make such changes online by modifying your Online Voting registration information.  However, because your User Information is necessary in order to verify your status as a shareholder of AMCC who has registered for Online Voting, any limitation on the use of your User Information will result in the cancellation of your Online Voting enrollment and prevent you from using Online Voting.  Please e-mail your request for cancellation or any changes to www.icsdelivery.com/amcc.  In order to cancel your Online Voting enrollment or modify your Online Voting registration information, you will need the enrollment number that you received when you registered for access to this web site. 

Changes to this Privacy Statement
